Terms of Use

1. Who We Are and What We Do

Pick Up My Files is a SaaS platform that helps Etsy digital sellers deliver files to their buyers. The platform generates PDF delivery files, uploads them to your Etsy listings, hosts buyer download pages, and provides delivery-page analytics and optional buyer-initiated email capture.

We are not Etsy. We are not affiliated with or endorsed by Etsy Inc. The relationship between you and your buyers is governed by Etsy’s own policies.

2. Eligibility

You must be at least 18 years old to create an account. By registering, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

If you are registering on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

We do not knowingly allow accounts for persons under 18. If we discover an underage account, we will terminate it immediately.

3. Account Registration and Security

3.1 Creating an Account

You may register with an email address and password, or by connecting via Google OAuth or Etsy OAuth. If you register via OAuth, your account is linked to that third-party provider and governed in part by their terms.

You are responsible for:

• Providing accurate, current, and complete registration information
• Keeping your password or OAuth credentials secure
• All activity that occurs under your account, whether or not you authorized it
• Notifying us immediately at support@pickupmyfiles.com if you suspect unauthorized access

3.2 One Account Per Etsy Shop

Each Etsy shop may be connected to one Pick Up My Files account. You may not share your account credentials or allow unauthorized access.

4. Subscription Plans, Billing, and Payments

4.1 Plans

We offer a permanent Free tier and paid subscription plans (“Paid Plans”) with monthly and annual billing options. The features, prices, and billing options currently available for each tier are shown on our Pricing page and confirmed at checkout. We reserve the right to adjust features and pricing, subject to the notice obligations in Section 4.8.

There is no time-limited free trial of Paid Plan features. The Free tier is available indefinitely without payment.

4.2 Payment and Renewal

Paid Plans are billed through Stripe. Before payment, checkout identifies the selected plan, whether billing is monthly or annual, the recurring base price, any eligible promotion, and applicable tax. By completing a purchase, you authorize us to charge the payment method you provide through Stripe for that recurring subscription. Paid Plans renew automatically at the end of each monthly or annual billing period unless you cancel before renewal.

All prices are in USD unless otherwise stated. You are responsible for applicable taxes in your jurisdiction.

We do not store your full card details. Payment information is held and processed by Stripe, Inc. under their privacy policy and PCI-DSS compliance standards.

4.3 No Free Trial

We do not offer a free trial of Paid Plans. You may evaluate the platform on the Free tier before subscribing.

4.4 Cancellation and Refund Policy

You may cancel a Paid Plan at any time. Cancellation stops the next renewal and takes effect at the end of your current billing period. You retain access to the paid features through that date.

Monthly plans: You may cancel at any time. Cancellation takes effect at the end of the current monthly billing period. We do not provide partial-period refunds, except where required by applicable law.

Annual plans: You may cancel at any time. Cancellation takes effect at the end of the current annual billing period. We do not provide partial refunds for unused months, except where required by applicable law.

Full details, including what happens after cancellation, the grace period, data retention, and how to cancel, are in our Return & Refund Policy. To cancel, use the Billing section in your account settings or contact us at support@pickupmyfiles.com.

4.5 Grace Period on Non-Payment, Cancellation, or Downgrade

When a subscription ends due to non-payment, the cancellation effective date, or a plan downgrade that leaves products over-limit, a 30-day grace period begins immediately. During the grace period:

• Your download pages continue to serve buyers fully
• All platform features remain available
• We send you three escalating email notices at grace start, approximately day 14, and approximately day 25, identifying the number of affected products and the exact date service ends

The notices are sent to the billing email address on your account. You are responsible for keeping a reachable billing email address in your account settings. Notice to that address constitutes valid notice regardless of whether the email is read.

4.6 Service Cutoff After Grace Period

If the account is not made current before the grace period ends:

• Affected download pages stop serving and display a graceful notice to buyers (“This download is no longer available — please contact the seller”)
• Pick Up My Files will remove its branded PDFs from your affected Etsy listings and replace them with a neutral unbranded notice file that instructs buyers to contact you through Etsy Messages. If your Etsy connection has been revoked or expired at the time of cutoff, we cannot perform this replacement automatically, and you are responsible for replacing the affected files on Etsy yourself
• Your account continues on the Free tier. Your pages, settings, and analytics stay in your account, and subscribing again restores the paid features immediately
• If you then store more in Files storage than the Free tier includes, Section 6.5 applies: nothing is removed for 90 days, and you choose what to keep

You expressly authorize Pick Up My Files to upload, delete, and replace files on your Etsy listings as described above, using the Etsy API access you have granted.

4.7 Payment Failures

If a payment fails on a monthly or annual plan, Stripe may retry the charge and send its billing notices according to the configured recovery schedule. If recovery is exhausted, the 30-day grace period begins and Pick Up My Files sends the access notices described above.

4.8 Price Changes

We will give you at least 30 days’ notice before increasing the price of your active subscription. Price changes take effect at your next renewal after the notice period. Continuing to use the platform after that renewal constitutes acceptance of the new price.

4.9 Promotions and Voluntary Plan Changes

A promotion may apply only to the plans, billing options, duration, dates, and redemption limits shown at checkout. It has no cash value and does not change your plan’s features or limits. When a promotion ends, the subscription renews at the recurring base price shown at checkout, plus applicable tax.

An existing historical price continues to renew unless you voluntarily change plan or billing frequency. A same-frequency upgrade may take effect immediately with the charge or credit shown in the Stripe preview. Downgrades and all monthly-to-annual or annual-to-monthly changes take effect as one change at the next renewal. A voluntary change moves the subscription to the then-current price shown in its confirmation and may change whether an existing promotion remains eligible.

5. Authorized Use of Your Connected Accounts

By connecting external accounts to the platform, you grant us permission to:

• Etsy: Read your shop and listing data; generate and upload PDF files to your listings; and update or remove files we have uploaded as part of the delivery service. The current store connection requests listings_r and listings_w. It does not request Etsy order, receipt, financial, or buyer email access.
• Google sign-in: Authenticate your identity and access your Google account identifier, email address, name, and profile image. Google sign-in is only a way to sign in; it gives us no access to your files anywhere else.

Buyer email capture is separate from Etsy. A buyer may voluntarily enter an address and affirmatively consent on a seller’s Pick Up My Files download page; subscribing is never required to receive purchased files, and the address is not obtained from the Etsy API.

We do not use Google user data for advertising, credit decisions, or AI or model training. We do not use Etsy API data or buyer delivery events to connect sellers with third-party advertising platforms. These permissions are used solely to provide the services described in these Terms. You may revoke a connection in account settings.

The files you upload for buyers are stored by us on our infrastructure. We scan them before delivery, serve them to buyers only through short-lived links tied to a seller's download page, and delete them on the schedule described in our Privacy Policy.

6. Your Content and License

6.1 You Own Your Content

You retain all ownership and intellectual property rights in the files, listings, branding, and other content you upload to or manage through the platform (“Your Content”).

6.2 License to Us

By using the platform, you grant MentisLeap LLC a limited, non-exclusive, worldwide, royalty-free license to host, copy, transmit, and display Your Content solely to the extent necessary to provide the services described in these Terms. This license ends when you delete the relevant content or terminate your account, subject to the recovery window in Section 6.4 and the retention periods in our Privacy Policy.

6.3 Responsibility for Your Content

You represent and warrant that:

• You own or have the rights to Your Content and have the right to grant the above license
• Your Content does not infringe intellectual property, privacy, or other rights of any third party
• Your Content complies with applicable law, including Etsy’s policies and digital product licensing requirements

We are not responsible for reviewing or monitoring Your Content. We reserve the right to remove content that we determine, in our sole discretion, violates these Terms or applicable law.

6.4 Files Storage

The files you upload for your buyers are stored by us in Files storage. Each plan includes an amount of Files storage, shown on our Pricing page. You can add storage packs: each is a one-time payment, adds to what your plan includes, lasts 12 months from purchase, and does not renew. Our Return & Refund Policy covers packs.

• We check every upload before buyers can download it, and we refuse programs and files that fail our checks
• When you delete a file, its space is freed straight away and the file can be restored for 30 days. Restoring it needs room in your storage. After 30 days it is permanently deleted
• Keep your own copies. Files storage is not a backup service. Keep the original of every file you sell, and use “Download all my files” in the app whenever you want a copy of everything

6.5 When You Store More Than Your Allowance

Your allowance is what your plan includes plus any storage packs you have not used up. You can end up storing more than your allowance, for example after a paid subscription ends, after a downgrade, when a storage pack ends, or when a pack payment is refunded or reversed. When that happens:

• New uploads pause, and everything already stored keeps working for your buyers
• We email you when it starts and again before the deadline, naming the files that do not fit and the listings that use them
• You have 90 days to bring your storage within your allowance, by choosing a bigger plan, buying storage, or deleting files. As soon as your storage fits, nothing further happens
• You can choose which files to keep. If you do not choose, we keep files that your listings deliver first, then the most recently downloaded, then the newest
• At the deadline we remove only the files that do not fit, and only down to your allowance. Removed files can be restored for 30 days once you have room for them. Buyers of a listing whose files were removed see a notice asking them to contact you

6.6 Copyright and Abuse Notices

We respect intellectual property rights and respond to notices under the U.S. Digital Millennium Copyright Act (DMCA). Our designated agent for copyright notices is the Copyright Agent, MentisLeap LLC, Wyoming, USA, at abuse@pickupmyfiles.com.

• Sending a notice. Include your physical or electronic signature; the copyrighted work you believe is infringed; the download page or link where the file appears; your name, address, telephone number, and email address; a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner
• What we do. We review each notice. When a notice is valid, we disable the file so buyers can no longer download it, keep it while the notice is resolved, and email the seller the notice reference
• Counter-notice. A seller who believes a file was removed by mistake or misidentification may send a counter-notice to the same address, with their signature, the file and notice reference, a statement under penalty of perjury that they have a good-faith belief the file was removed by mistake or misidentification, their name, address, and telephone number, and their consent to the jurisdiction of the federal district court for their address (or, outside the United States, any judicial district in which we may be found) and to accept service from the person who sent the notice. We forward it to that person and restore the file 10 to 14 business days later, unless they tell us they have filed a court action
• Repeat infringers. We close the account of a seller who receives 3 valid copyright notices. A notice that is withdrawn, found invalid, or answered by a counter-notice that leads to the file being restored does not count
• Other abuse. Report malware, illegal content, or other abuse of a download page to the same address. We may disable a file immediately while we review a report

7. Buyer Relationship

Buyers are your customers, not ours. Pick Up My Files acts solely as your service provider in delivering files and powering download pages. We have no direct contractual relationship with your buyers. We process buyer interactions (download events, email captures, analytics) as a data processor acting on your behalf.

You are solely responsible for:

• Fulfilling your obligations to buyers under Etsy’s Seller Policy and applicable consumer law
• Handling buyer complaints, refund requests, and Etsy cases
• Ensuring your digital products are deliverable and legally licensed for sale

We are not liable to your buyers for any loss of access to files, failed downloads, or any other buyer-facing issue.

8. Etsy API Data Handling

Pick Up My Files obtains Etsy data only through Etsy’s authorized API and OAuth flows; we do not scrape Etsy. For Etsy sign-in, we use the Etsy account identifier, email address, and name needed to create or access your Pick Up My Files account and confirm the shop you own. For a connected store, we read the shop identity and listing content needed to import your catalog, present it inside the seller application, keep connected delivery accurate, and manage only the listing delivery files handled through Pick Up My Files.

Etsy-derived listing content is displayed only while it was verified within the previous six hours. Other Etsy-derived shop or profile content is displayed only while it was verified within the previous 24 hours. Missing or expired verification fails closed: the Etsy-derived content is suppressed while Pick Up My Files-owned pages, files, instructions, and delivery controls remain available.

When a dependency-safe Etsy store disconnect completes, we delete the local store access and refresh tokens and imported listing cache. If Etsy sign-in remains linked, we retain only the stable Etsy identity and shop binding required for login and account-ownership protection. Disconnecting does not delete or alter the seller’s original Etsy listings or files. Closing the Pick Up My Files account immediately removes active Etsy credentials and schedules the remaining operational account data for deletion or irreversible anonymization within 90 days, except records we must retain for legal, billing, security, or agreement-evidence purposes.

Pick Up My Files does not use Etsy API data or Etsy Member data for machine learning, AI model training, third-party advertising, credit decisions, or generalized product development. The current platform does not provide AI features that process Etsy data. We will not introduce Etsy order analytics or AI functionality unless the necessary product is implemented, the required permission and seller authorization are obtained, and the applicable notices are updated before processing begins.

9. Prohibited Uses

You may not use the platform to:

• Violate any applicable law, regulation, or Etsy policy
• Upload, distribute, or sell content that infringes intellectual property rights or contains illegal material, including CSAM, malware, or unlicensed copyrighted works
• Send Etsy API data or buyer delivery events to third-party advertising or marketing platforms
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of the platform
• Use automated tools to scrape, crawl, or extract data from the platform beyond what the API expressly permits
• Resell or sublicense access to the platform to third parties without our written consent
• Impersonate any person or entity, or misrepresent your affiliation
• Circumvent any security, access control, or billing mechanism of the platform
• Use the platform in a way that harms or could harm the platform, our infrastructure, or other users

We reserve the right to suspend or terminate any account that violates this section without notice and without refund.

10. Third-Party Services

The platform integrates with third-party services including Etsy, Google, Stripe, Resend, Cloudflare, and Hostinger. Separately, the Pick Up My Files marketing site may use consent-based analytics and advertising measurement for Pick Up My Files’ own campaigns, as described in our Privacy Policy. Your use of connected services is governed by their own terms of service and privacy policies.

We are not responsible for the uptime, data practices, or conduct of any third-party service. Changes to third-party APIs or policies may affect platform features; we will endeavour to adapt to such changes but cannot guarantee continuity of any integration.

10.1 Etsy API Warranty Disclaimer

DISCLAIMER: PICK UP MY FILES IS DEVELOPED AND PROVIDED SOLELY BY MENTISLEAP LLC, THE APPLICATION DEVELOPER. ETSY, INC. AND ITS AFFILIATES DID NOT DEVELOP AND DO NOT PROVIDE PICK UP MY FILES. ETSY MAKES NO WARRANTIES OF ANY KIND CONCERNING PICK UP MY FILES OR ANY DATA ACCESSED THROUGH IT.

11. Intellectual Property and Third-Party Marks

The platform, its design, software, algorithms, branding, and all underlying technology are owned by MentisLeap LLC or our licensors and are protected by copyright, trademark, and other applicable law.

These Terms do not grant you any rights to our intellectual property except the limited license to use the platform as a subscriber.

The term 'Etsy' is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy, Inc.

All other third-party names, logos, and marks are the property of their respective owners. Their use in the platform identifies the relevant third-party service only and does not imply endorsement, sponsorship, or affiliation.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

• PICK UP MY FILES IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES, LOST DATA, BUYER REFUNDS, ETSY CASES, REPUTATIONAL HARM, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES
• OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO PICK UP MY FILES IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100
• THE ABOVE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE)

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless MentisLeap LLC and its members, officers, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the platform
• Your violation of these Terms
• Your Content
• Your violation of any third party’s rights, including intellectual property, privacy, or consumer rights
• Any buyer disputes arising from your sale of digital products

14. Service Availability and Modifications

We make reasonable efforts to keep the platform available, but we do not guarantee uptime or uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability.

We may discontinue features, add new features, or change the functionality of the platform at any time. We will endeavour to give reasonable notice for significant changes to paid features.

15. Termination

15.1 Termination by You

You may close your account at any time through account settings. Account closure ends seller, team-member, and buyer-download access immediately, schedules an active Stripe subscription not to renew, and does not provide a partial-period refund except where required by law. Files you uploaded for buyers are deleted after the recovery window described in our Privacy Policy. Operational account data is deleted or irreversibly anonymized after 90 days, while legally required billing records and immutable agreement evidence are retained separately for the applicable legal period.

15.2 Termination by Us

We may suspend or terminate your account immediately, without notice or refund, if you:

• Violate Section 9 (Prohibited Uses)
• Engage in fraudulent, abusive, or illegal conduct
• Pose a risk to other users or the platform’s integrity

We may also terminate your account with 30 days’ notice for any other business reason, including discontinuation of the service.

15.3 Effect of Termination

Upon termination, your right to use the platform ends. Sections 6.1, 7, 11, 12, 13, 16, and 17 survive termination.

16. Dispute Resolution – Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

16.1 Informal Resolution First

Before filing any formal dispute, you agree to contact us at legal@pickupmyfiles.com and give us 30 days to resolve the issue informally.

16.2 Binding Arbitration

If we cannot resolve the dispute informally, you and we agree to resolve any claim, dispute, or controversy (“Dispute”) arising out of or relating to these Terms or the platform through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer or Commercial Arbitration Rules, rather than in court.

• Arbitration will be conducted in English, with a seat in Wyoming, USA, unless applicable AAA rules allow remote or written proceedings
• The arbitrator’s decision is final and binding and may be entered as a judgment in any court of competent jurisdiction
• Costs and fees are governed by AAA rules; we will pay AAA fees for claims under USD $10,000 unless the arbitrator finds your claim frivolous

16.3 Class Action Waiver

YOU AND PICK UP MY FILES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

16.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights or unauthorized use of the platform.

16.5 Opt-Out

You may opt out of mandatory arbitration within 30 days of first accepting these Terms by emailing legal@pickupmyfiles.com with the subject “Arbitration Opt-Out” and your name and account email. Opting out does not affect any other provision of these Terms.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. For disputes not subject to arbitration under Section 16, or where Section 16 does not apply, you consent to the exclusive jurisdiction of the state and federal courts located in Wyoming, USA.

18. EU / GDPR — Data Subject Rights

If you are located in the European Economic Area (EEA), the United Kingdom, or Switzerland, additional rights apply to your personal data under the General Data Protection Regulation (GDPR) or equivalent legislation. These rights, including the right to access, rectify, erase, and port your data, and to object to or restrict its processing, are described in full in our Privacy Policy.

These Terms are governed by Wyoming law, but that does not limit your rights under applicable EU/UK data protection law. To exercise data subject rights, contact us at privacy@pickupmyfiles.com.

19. Changes to These Terms

We may update these Terms at any time. We will notify you by email and by posting a notice on the platform at least 14 days before changes take effect for material changes. Continued use of the platform after the effective date of updated Terms constitutes your acceptance of the changes.

If you do not agree to the updated Terms, you must stop using the platform and may cancel your subscription before the new Terms take effect.

20. General

• Entire agreement: These Terms, together with our Privacy Policy and any additional terms you agree to during signup or in-app, constitute the entire agreement between you and us regarding the platform
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force
• No waiver: Failure to enforce any provision is not a waiver of our right to enforce it later
• Assignment: We may assign these Terms to a successor in connection with a merger, acquisition, or sale of all or substantially all of our assets. You may not assign your rights under these Terms without our prior written consent
• Force majeure: We are not liable for failures or delays caused by events outside our reasonable control, including natural disasters, internet outages, acts of government, and third-party platform outages
• Language: These Terms are written in English. If translated, the English version controls in case of conflict
